Terms of Sale for equipment, parts, and services.

These Terms of Sale explain how quotations, orders, pricing, payment, taxes, delivery, inspection, installation, warranty, returns, and service are handled by Prima Press USA.

Scope and acceptance

The accepted transaction documents define the sale.

These terms apply to sales by Prima Press USA unless an accepted quotation, order acknowledgment, sales agreement, service authorization, or other signed document states a different term. A website submission or purchase request is an offer to buy, not acceptance by Prima Press USA. An order becomes binding only through written acceptance or other unambiguous performance. We may reject or request correction of inaccurate, unavailable, risky, or unsupported orders.

Configuration

The buyer must review the exact equipment record.

Before acceptance, review model, capacity, work area, control, power or force, options, tooling, automation, utilities, software, safety interfaces, standards, deliverables, training, installation, and exclusions in the quotation. General web content does not amend the accepted configuration. Compatibility and process suitability require the information requested for the actual material, part, machine, and operating conditions.

Price, tax, and payment

The accepted order states the commercial amounts and schedule.

Prices, deposits, payment milestones, currency, taxes, duties, freight, insurance, storage, and other charges are those stated in the accepted order. A price displayed online applies only while maintained for the identified product and quantity. Taxes shown as estimates or manual review are not final. Payment credentials must be entered only through an authorized payment provider; never send full card or bank credentials in a general form or attachment.

Delivery

Dates and shipping methods are confirmed in writing.

Any production, availability, shipment, arrival, installation, or completion date is an estimate unless the accepted order expressly makes it a firm commitment. Delays outside reasonable control may require a revised schedule. Shipment method, freight terms, title, risk of loss, unloading, storage, and site access are governed by the accepted order and applicable shipping law. Inspection and acceptance

Inspect promptly and document a mismatch or damage.

Check identity, quantity, visible condition, and shipping records at delivery when reasonably possible. Report a material nonconformity with the order number, item or machine identity, serial number, details, and evidence as soon as practical within the order and carrier deadlines. Do not operate equipment when doing so could create a safety risk or worsen damage. Latent defects remain subject to the limited warranty rather than being waived solely by delivery inspection.

Site and operation

The buyer controls the workplace and operating conditions.

Unless the accepted order says otherwise, the buyer is responsible for site readiness, permits, rigging, foundations, utilities, network and air requirements, ventilation, fire protection, materials, guarding integration, trained personnel, and compliance of the workplace and completed production system. Installation, commissioning, training, or service is included only when written into the accepted scope.

Warranty and returns

Published policies and order-specific terms work together.

The two-year limited machine warranty and five-year limited machine-structure warranty apply as described in the Warranty Policy unless the accepted order provides different or additional written coverage. Return and cancellation eligibility follows the Returns and Cancellations Policy and accepted order. No oral statement changes those documents without written confirmation.

Responsibility and law

Transaction-specific legal terms remain in the accepted agreement.

Each party remains responsible for obligations that applicable law does not permit it to exclude. Any indemnity, liability cap, consequential-damage exclusion, governing law, venue, dispute process, security interest, or similar negotiated legal term applies only when stated in the accepted agreement or imposed by law. Effective July 23, 2026.

Prima Press USA keeps versioned policy text and consent records. An accepted quotation, order, warranty, or service agreement controls when it specifically addresses the same transaction.
